Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") govern your access to and use of the Tenbin scheduling platform ("Service"), operated by K.K. Kiruck (株式会社キラック) ("Company," "we," "us," or "our"), a corporation organized under the laws of Japan.

By creating an account, accessing, or using the Service, you ("User," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

The Service is available at tenbin.link and any associated subdomains.

2. Description of Service

Tenbin is a web-based scheduling tool that enables users to:

  • Connect multiple Google accounts and aggregate calendar availability (free/busy status) across those accounts;
  • Generate and share booking page URLs that display available time slots to external guests;
  • Automatically create calendar events upon booking confirmation;
  • Send email notifications for bookings, reschedules, and cancellations.

Tenbin acts as an intermediary between your Google Calendar accounts and external guests who book time with you. We do not provide calendar hosting, video conferencing, or communication services beyond transactional email notifications.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement and have the legal capacity to enter into these Terms.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms.

4. Account Registration

4.1 Account Creation

To use the Service, you must create an account by providing a valid email address and password. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

4.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@tenbin.link if you become aware of any unauthorized use of your account.

4.3 One Account Per User

Each individual may maintain only one Tenbin account. Multiple Google accounts may be connected to a single Tenbin account as described in Section 5.

5. Google Account Connection

5.1 OAuth Authorization

The Service requires you to connect one or more Google accounts via Google OAuth 2.0. By connecting a Google account, you authorize Tenbin to:

  • Read your calendar list and free/busy status (via the Google Calendar FreeBusy API);
  • Create, modify, and delete calendar events on your behalf (only for bookings made through Tenbin);
  • Access your Google account email address and profile name for identification purposes.

5.2 Scope of Access

Tenbin uses the minimum OAuth scopes necessary to provide the Service. We access free/busy status only — we do not read the titles, descriptions, attendees, or other details of your existing calendar events for availability checks.

5.3 Token Storage

OAuth access tokens and refresh tokens are encrypted at rest using AES-256-GCM and stored securely. You may revoke Tenbin's access to any Google account at any time from your Tenbin settings or from your Google Account permissions page.

5.4 Account Limits

You may connect up to 10 Google accounts to your Tenbin account, subject to the applicable subscription fees described in Section 7.

6. Use of the Service

6.1 Permitted Use

You may use the Service for its intended purpose of scheduling meetings and managing calendar availability across multiple Google accounts. You agree to use the Service in compliance with all applicable laws and regulations.

6.2 Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws;
  • Attempt to gain unauthorized access to the Service, other users' accounts, or our systems;
  • Use automated tools (bots, scrapers, crawlers) to access the Service without our prior written consent;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Use the Service to send spam, unsolicited messages, or abusive content through booking pages;
  • Resell, sublicense, or redistribute access to the Service without our written authorization;
  • Impersonate another person or entity when creating booking pages;
  • Use the Service to collect personal information of guests for purposes unrelated to scheduling;
  • Circumvent any usage limits, rate limits, or security measures of the Service.

6.3 Booking Page Content

You are solely responsible for the content you include in your booking pages (titles, descriptions, and any other text). You agree not to include content that is misleading, defamatory, obscene, or that violates any third party's rights.

7. Fees and Payment

7.1 Pricing

The Service is offered on a monthly subscription basis. The current pricing is:

  • Base plan: $10 USD per month, which includes up to 2 connected Google accounts;
  • Additional accounts: $3 USD per month for each additional connected Google account (3rd account and above);
  • Maximum: Up to 10 connected Google accounts per Tenbin account.

Pricing is subject to change. We will notify you of any pricing changes at least 30 days before they take effect. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.

7.2 Billing

All payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring monthly basis. Your subscription fee may be adjusted when you add or remove connected Google accounts, with changes reflected in your next billing cycle or prorated as applicable.

7.3 Taxes

All fees are exclusive of applicable taxes unless otherwise stated. You are responsible for any sales tax, value-added tax (VAT), consumption tax, or similar taxes applicable to your use of the Service, as determined by your jurisdiction.

7.4 Failed Payments

If a payment fails, we will attempt to process it again according to Stripe's retry schedule. If payment remains unsuccessful, your subscription may be downgraded or suspended. We will notify you by email before any suspension of service due to non-payment.

7.5 No Refunds

Subscription fees are non-refundable. When you cancel your subscription, you will continue to have access to the Service until the end of your current billing period. No partial-month refunds will be issued.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your subscription at any time through your account settings or by contacting support@tenbin.link. Upon cancellation:

  • Your subscription remains active until the end of the current billing period;
  • After the billing period ends, your connected Google accounts will be deactivated and your booking pages will be taken offline;
  • Your data will be retained for 90 days following cancellation, after which it will be permanently deleted.

8.2 Termination by Us

We reserve the right to suspend or terminate your account at any time if:

  • You violate these Terms or any applicable laws;
  • Your use of the Service poses a security risk to us, other users, or third parties;
  • Your account has been inactive for more than 12 months and has no active subscription;
  • We are required to do so by law or a government authority.

We will make reasonable efforts to notify you before termination, except where prohibited by law or where immediate termination is necessary to protect the Service or other users.

8.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 10, 11, 12, 13, and 14.

9. Guest Users

External guests who book time through a Tenbin booking page ("Guests") are not required to create a Tenbin account. By using a Tenbin booking page, Guests agree that:

  • Their name, email address, and any optional notes they provide will be shared with the booking page owner (the Tenbin User);
  • They will receive transactional emails from Tenbin (booking confirmation, reminders, reschedule/cancellation notifications);
  • Their information will be processed in accordance with our Privacy Policy.

Guests may reschedule or cancel bookings using the links provided in their confirmation email. Rescheduling and cancellation are subject to any policies set by the booking page owner.

10. Intellectual Property

10.1 Our Intellectual Property

The Service, including its design, features, code, documentation, logos, trademarks, and all related intellectual property, is and remains the exclusive property of K.K. Kiruck. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10.2 Your Content

You retain ownership of any content you create within the Service (booking page titles, descriptions, etc.). By using the Service, you grant us a limited, non-exclusive license to display and transmit your content solely for the purpose of providing the Service.

10.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such feedback into the Service without obligation to you.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, we disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
  • Any warranty that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
  • Any warranty regarding the accuracy, reliability, or completeness of calendar availability information obtained through the Service;
  • Any warranty that the Service will be compatible with all Google Workspace configurations or third-party services.

We do not guarantee that bookings will be free of scheduling conflicts in all circumstances. While we implement measures to prevent double-bookings (including real-time free/busy checks), external calendar changes may occur between the time a guest views availability and confirms a booking.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, K.K. KIRUCK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE.

This includes, without limitation, damages for loss of profits, revenue, data, business opportunities, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or in connection with these Terms or the Service shall not exceed the total amount of fees paid by you to us during the 12-month period immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless K.K. Kiruck and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

  • Your use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any rights of a third party;
  • Any content you create or share through the Service.

14. Third-Party Services

The Service integrates with third-party services including Google (Calendar API, OAuth), Stripe (payment processing), Resend (email delivery), Supabase (database and authentication), and Cloudflare (hosting and CDN). Your use of these third-party services is subject to their respective terms and privacy policies:

We are not responsible for the availability, accuracy, or practices of any third-party services. If any third-party service becomes unavailable or changes its terms, we may need to modify or discontinue certain features of the Service.

15. Service Availability and Modifications

15.1 Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or reasons beyond our control, including third-party service outages.

15.2 Modifications

We reserve the right to modify, update, or discontinue any feature of the Service at any time. We will provide reasonable notice of material changes that negatively affect your use of the Service.

16. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law principles.

17.2 Jurisdiction

Any dispute arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

17.3 Informal Resolution

Before initiating any formal legal proceedings, you agree to first contact us at support@tenbin.link and attempt to resolve the dispute informally within 30 days.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will:

  • Post the revised Terms on this page with an updated "Last Updated" date;
  • Notify you via email at least 14 days before the changes take effect;
  • Display a notice within the Service.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and K.K. Kiruck regarding the Service and supersede all prior agreements.

19.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service outages.

19.6 Language

These Terms are drafted in English. If translated into any other language and there is a conflict between the English version and the translated version, the English version shall prevail.
